Terms of Service

These Terms of Service govern your use of the Keres AI website and the services we provide. By using the site or engaging us for work, you agree to these terms.

01Services

Keres AI designs, builds, and deploys custom AI automation agents for field service businesses. Specific deliverables, timelines, pricing, and acceptance criteria for paid engagements are set out in a separate Statement of Work (SOW) signed between Keres AI and the client. The SOW controls in any conflict with these general terms.

02Eligibility

You must be at least 18 years old and authorized to bind your business to contract. By submitting a contact form or SOW, you represent that you meet these requirements.

03Payment

Paid engagements are invoiced according to the terms of the SOW. Standard payment terms are 50% on project kickoff and 50% on go-live, unless otherwise stated. Monthly retainers are billed in advance. Late payments accrue interest at 1.5% per month.

04Intellectual property

Custom work product we create specifically for you under a paid engagement (agent logic, configurations, integrations) becomes your property upon full payment. Pre-existing Keres AI tooling, frameworks, and know-how remain our property; you receive a perpetual license to use them as part of the delivered agent.

You warrant that any data, logos, or content you provide to us does not infringe third-party rights.

05Confidentiality

Both parties agree to keep non-public information shared during an engagement confidential. Mutual NDAs are available on request and are often included by default in larger engagements.

06Warranties & disclaimer

We provide services with reasonable care and skill. We do not guarantee specific revenue, cost savings, or close-rate outcomes — those depend on factors outside our control. AI systems can produce unexpected outputs; clients are responsible for reviewing and approving automations before production use.

The website and any free resources are provided "as is" without warranty of any kind.

07Limitation of liability

To the maximum extent permitted by law, Keres AI’s total liability under any engagement is limited to fees paid by the client in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

08Termination

Either party may terminate an engagement for material breach if the breach is not cured within 15 days of written notice. Monthly retainers may be cancelled with 30 days’ written notice. Fees earned through the termination date are due and payable.

09Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Any disputes will be resolved in the state or federal courts located in Harris County, Texas.

10Changes

We may update these terms from time to time. Material changes will be posted on this page with an updated date. Continued use of the site after changes constitutes acceptance.
